GENERAL RELATIONSHIP: In performing services under this Agreement, Advent Media, Inc. is assuming the role of an independent reseller for dnp Denmark front projection screens. Advent Media, Inc. shall exercise independent judgment in performing duties under this Contract. No term or provision of this Agreement shall be construed as making Reseller the agent, servant or employee of Buyer, or making Reseller or any of its employees eligible for fringe benefits, such as retirement, insurance and worker’s compensation. Advent Media, Inc. agrees to assume all liabilities or obligations imposed by any one or more of such laws with respect to the Reseller in the performance of this Agreement. The Reseller shall not have any authority to assume or create any obligations, express or implied, on behalf of the Buyer, and the Reseller shall have no authority to represent the Buyer as agent, employee, or in any other capacity. 

RESELLER RELATIONSHIP: Advent Media, Inc. is not in the employ of dnp Denmark, the manufacturer, but serves the role of independent reseller.  dnp Denmark is solely responsible for claims and representations made about the product.

SUITABILITY:  Advent Media, Inc. and dnp Denmark make NO GUARANTEE as to the suitability of the product for any given purpose.  Buyer assumes all responsibility for installation and use.  Buyer understands that installation and use in a way not recommended by dnp Denmark’s installation and use instructions may lead to degraded performance.  Buyer also understands that Supernova technology has limits, and that the environment where it is used may require modification to provide expected results. 

MANUFACTURER WARRANTY:  dnp Denmark’s one-year manufacturing defect warranty shall apply as the sole warranty on this product.  Advent Media, Inc. will facilitate communication with dnp Denmark regarding warranty repair or replacement if required.  Buyer is responsible for return shipping for warranty repair or replacement.

DELIVERY:  Buyer acknowledges that someone must receive and sign for the screen upon delivery.  Buyer will receive a tracking number to track the shipment, and must assure someone will be available to sign for the delivery.  Before accepting delivery, inspect the shipping carton.  DO NOT ACCEPT DELIVERY IF CARTON IS SEVERELY DAMAGED (e.g. signs of water immersion, bent, deeply punctured or broken open).  Immediately initiate a damage claim with the carrier and notify Seller. (Digital photo evidence of carton damage is recommended.)  IF CARTON HAS SOME DAMAGE (e.g. corner damage, tear or  small puncture), make note of damage on the delivery receipt and have the delivery person sign to acknowledge before accepting delivery. 

INSPECTION:  Even if carton is clean, the screen must be opened and inspected for shipping damage within 24 hours of delivery.  Damage must be reported immediately directly with the carrier, and with the Seller. (Digital photo evidence of damage is recommended.)  Unless inspected and reported promptly, dnp Denmark will disallow any claims for damage.

CANCELLATION:  The screen order may be cancelled and the credit card will be credited the full price if the order is cancelled prior to shipment by dnp Denmark – usually 24 – 48 hours after the order is placed.  Once in transit, the order may not be cancelled.

NO REFUNDS:  Except for cancellation prior to shipment or failure of dnp Denmark to deliver the product, the screen is not returnable, and no refunds will be issued for any reason.  Buyer is solely responsible for determining fitness for any given purpose (see “suitability,” above).

TAXES:  For buyers residing in Ohio, 6.75% Franklin County, Ohio sales tax applies.  Other states may have sales/use taxes that apply to online sales.  Buyer is solely responsible for reporting the purchase and paying any such taxes that are due.

ELECTRONIC ACCEPTANCE:  By submitting this order via Advent Media, Inc.’s Payment Portal electronic invoice, you agree to the above terms and conditions.
